Terms of Service

These Terms govern your use of the ChiroFlow platform, operated by WellSpring Digital LLC ("we", "us"). By using ChiroFlow you agree to these Terms.

1. The service

ChiroFlow is a practice-management platform for chiropractic offices. It provides patient scheduling, appointment reminders, a patient portal, and related features.

2. Accounts

Practices subscribe through a separate written agreement. Patient accounts are created by the practice and accessed by the patient. You agree to keep your account credentials confidential. You are responsible for activity that occurs under your account.

3. Acceptable use

  • Don't access another patient's information without authorization.
  • Don't scrape, scan, or attempt to disrupt the service.
  • Don't use the service to send unsolicited messages.
  • Don't use the service in violation of HIPAA, TCPA, or other applicable law.

4. HIPAA + business-associate role

When a chiropractic practice uses ChiroFlow to handle protected health information (PHI), the practice is the "covered entity" and WellSpring Digital LLC is a "business associate" under a separate, signed Business Associate Agreement. That BAA controls PHI handling and supersedes any conflicting term in this document.

5. Communications

By creating a patient account or booking an appointment, you consent to receive transactional emails about your appointments (booking confirmations, reminders, cancellation notices).

SMS Messaging — Express Written Consent Required

We only send SMS messages to patients who have explicitly opted in by checking the SMS consent checkbox during booking or by adding an SMS reminder in the patient portal. Providing your phone number alone does not constitute consent to receive text messages.

Message frequency varies (typically 1–4 messages per month). Message and data rates may apply. Reply STOP to opt out, HELP for help. See the full SMS Terms for opt-in language, opt-out details, and carrier disclosures.

6. Disclaimers

The service is provided "as is". We make no warranties beyond those expressly required by applicable law. ChiroFlow is administrative software and is not a substitute for clinical judgment. Practitioners are responsible for their own clinical decisions.

7. Limitation of liability

To the maximum extent permitted by law, WellSpring Digital LLC's total liability for any claim arising from the service is limited to the amount the practice paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

A practice may terminate its subscription per the terms of its written agreement. Patients may stop using the service at any time. We may suspend access for violation of these Terms or to address a security concern.

9. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in New Jersey.

10. Changes

We may update these Terms. The effective date at the top reflects the most recent revision. Continued use after a change constitutes acceptance of the updated Terms.
